These Terms of Service (“Terms”) govern your use of gradeforce.com and the GradeForce application (the “Service”), operated by GradeForce [legal entity name, ABN XX XXX XXX XXX](“we”, “us”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
You must be 18 years or older to create an account and subscribe. By using the Service you confirm that you meet this requirement and that the information you provide is accurate. [If you later support minors via parent-managed or school accounts, add the relevant consent terms.]
GradeForce helps students plan their term from a syllabus, organise assignments and deadlines, chat with an AI tutor grounded in their own materials, grade and revise drafts, and (for teachers) publish class assignments. Features may change, improve, or be discontinued over time.
You are responsible for your account, for keeping your sign-in secure, and for activity that occurs under it. Tell us promptly if you suspect unauthorised use. One person per account unless we agree otherwise.
You agree not to:
GradeForce is a study aid. Its tutoring, grades, feedback, and revision suggestions are AI-generated and may be inaccurate; they are not a substitute for your teacher’s instruction or official marking, and must not be relied on as a final assessment. You are responsible for complying with your school’s academic-integrity rules, for ensuring submitted work is genuinely your own, and for how you use AI assistance. The Service is designed to help you learn, not to produce work for you to pass off as your own.
You keep ownership of the content you create or upload (your subjects, drafts, notes, messages, and documents). You grant us a limited, non-exclusive licence to host, process, and transmit that content solely to operate and improve the Service for you — including sending the necessary parts to our AI and infrastructure providers as described in the Privacy Policy. We do not claim ownership of your content and we do not use it to train AI models. You are responsible for the content you submit and for having the rights to it.
You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms, or to protect the Service or other users. On termination, your right to use the Service ends; you may request export or deletion of your content as described in the Privacy Policy.
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures you are entitled to a replacement or refund and to compensation for reasonably foreseeable loss or damage; for failures that are not major, you are entitled to have problems rectified in a reasonable time. Nothing in these Terms excludes, restricts, or modifies those non-excludable rights.
Subject to clause 9 and to the extent permitted by law: the Service is provided “as is” without warranties of any kind; we do not warrant that AI outputs are accurate, that the Service will be uninterrupted or error-free, or that it will meet your specific requirements. To the maximum extent permitted by law, our total liability arising from the Service is limited to the amount you paid us in the [12] months before the relevant claim, and we are not liable for indirect or consequential loss. [Confirm the liability cap and carve-outs with counsel.]
You agree to indemnify us against claims and losses arising from your breach of these Terms, your content, or your misuse of the Service, except to the extent caused by us.
We may update these Terms from time to time. We will post the updated version here and, for material changes, take reasonable steps to notify you. Continued use after changes take effect means you accept them.
These Terms are governed by the laws of [New South Wales], Australia, and you submit to the non-exclusive jurisdiction of its courts.
